1.Acceptance of Terms
By accessing or using the Crux platform at crux.camp (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Platform.
These Terms constitute a legally binding agreement between you and Crux. “You” refers to any individual or entity that accesses or uses the Platform, whether as a Property Owner operating a hospitality business or as a Guest making a booking through the Platform.
2.Description of Service
Crux is a software-as-a-service (SaaS) platform that enables hospitality businesses (“Property Owners”) to accept online bookings from their guests (“Guests”). The Platform provides:
- A dashboard for Property Owners to configure accommodations, activities, meal plans, and packages
- An embeddable booking widget that Property Owners place on their own websites
- Online payment processing via Stripe Connect
- Automated email communications including booking confirmations, payment receipts, and balance reminders
- A reservation management system with calendar, guest directory, and analytics
Crux is a technology platform — not a hospitality provider, travel agency, or party to the accommodation contract between Property Owners and Guests.
Reservations created through the Platform are agreements solely between the Guest and the Property Owner. Crux facilitates the booking and payment process but does not guarantee the quality, safety, legality, or accuracy of any listed property, activity, or service.
3.User Accounts & Eligibility
You must be at least 18 years of age to create an account on the Platform. By creating an account, you represent and warrant that you meet this requirement and that all registration information you provide is accurate and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Crux immediately of any unauthorized use.
Property Owners must complete Stripe Connect onboarding before the Platform can process payments on their behalf. Crux reserves the right to suspend or terminate any account that violates these Terms or applicable law.
4.Property Owner Obligations
As a Property Owner using the Platform, you are solely responsible for:
- Listing accuracy — ensuring all property descriptions, photographs, pricing, availability, and policies displayed through the Platform are truthful and up to date
- Legal compliance — obtaining and maintaining all necessary licenses, permits, and insurance required to operate your hospitality business in your jurisdiction, including lodging licenses, tax registration, and health and safety certifications
- Cancellation and refund policies — setting clear policies within the dashboard and honoring them for confirmed bookings
- Guest disputes — resolving complaints, processing legitimate refunds, and communicating directly with Guests regarding their reservations
- Insurance — maintaining adequate liability insurance for your property, activities, and operations
- Platform fees — paying Crux's platform fee on each processed booking as described in Section 7
- Negative balances — you are liable for any negative balance on your connected Stripe account resulting from chargebacks, refunds, or disputes. Crux or Stripe may deduct such amounts from future payouts or require direct repayment
- Risk and fraud cooperation — Crux may suspend payouts, hold funds, or restrict your account if we detect fraud, unusual activity, or elevated risk. You agree to cooperate with any investigation and provide additional information requested to restore your account to good standing
- Restricted businesses — you represent that your property does not operate in a restricted business category as defined by Stripe's Restricted Businesses list. Crux reserves the right to reject or terminate accounts that violate these restrictions
5.Guest Booking & Payment
When you submit a booking through the Platform as a Guest, you are entering into a reservation agreement directly with the Property Owner — not with Crux. Booking confirmation occurs upon successful payment processing.
Deposits and Balances
Property Owners may require a deposit at the time of booking. The remaining balance, if any, is due according to the Property Owner's stated payment terms, which are displayed during the booking process. Crux may automatically charge the balance to your card on file when the balance becomes due, as authorized during checkout.
Cancellations and Refunds
Cancellations and refunds are governed by the Property Owner's cancellation policy, which is displayed to you at the time of booking. Crux does not independently determine refund eligibility. If you need to cancel a reservation, please contact the Property Owner directly.
Disputes
You agree to contact the Property Owner to resolve any booking disputes before initiating a chargeback with your payment provider. Crux processes payments as a platform intermediary via Stripe Connect and is not a party to the underlying reservation agreement.
6.Chargebacks & Payment Disputes
A “chargeback” occurs when a Guest disputes a charge with their bank or card issuer and the payment is forcibly reversed. Chargebacks are a normal part of accepting card payments, but they carry fees and operational costs that must be allocated fairly.
Property Owner Responsibility
The Property Owner bears full financial responsibility for chargebacks arising from bookings at their property. This includes:
- The disputed transaction amount reversed by the Guest's bank
- Any chargeback fees assessed by Stripe (typically $15 per dispute)
- Any additional costs incurred during the dispute resolution process
These amounts will be deducted from the Property Owner's future payouts via Stripe Connect. If the connected account balance is insufficient, the Property Owner agrees to repay any negative balance within 30 days of notification.
Crux Evidence Assistance
While Property Owners are financially responsible for chargebacks, Crux will assist in the dispute process by providing available evidence, including:
- Booking confirmation records and timestamps
- Payment authorization and receipt data
- Guest communication logs stored on the Platform
- Cancellation policy acceptance records
Property Owners must respond to chargeback notifications within 7 days and provide any additional evidence requested (e.g., check-in records, service delivery confirmation, signed waivers). Failure to respond in a timely manner may result in automatic loss of the dispute.
Prevention & Best Practices
Property Owners are encouraged to minimize chargeback risk by:
- Setting clear cancellation and refund policies visible during booking
- Communicating promptly with Guests before and during their stay
- Processing legitimate refund requests directly rather than forcing Guests to dispute charges
- Maintaining accurate listing descriptions so Guest expectations match reality
Excessive Chargebacks
If a Property Owner's chargeback rate exceeds 1% of total transactions in any rolling 90-day period, Crux reserves the right to hold a portion of future payouts as a reserve, suspend new bookings, or terminate the account. These measures protect the Platform's payment processing capability, which benefits all Property Owners.
7.Platform Fees
Crux charges Property Owners a platform fee of 5% of each completed booking transaction, deducted automatically at the time of payment disbursement via Stripe Connect.
This fee is in addition to standard Stripe payment processing fees (approximately 2.9% + $0.30 per transaction), which are charged separately by Stripe and are not controlled by Crux.
Crux reserves the right to modify its fee structure with 30 days' written notice to Property Owners via email. Continued use of the Platform after the effective date of any fee change constitutes acceptance of the updated fees.
Guests are not charged any additional fees by Crux beyond what is displayed during the booking process.
8.Intellectual Property
Crux owns all rights, title, and interest in the Platform, including but not limited to the booking widget code, dashboard interface, APIs, documentation, and brand assets. The Crux name, logo, and wordmark are trademarks of Crux and may not be used without prior written permission.
Property Owners retain ownership of their listing content, including photographs, property descriptions, and other materials they upload to the Platform. By uploading content, Property Owners grant Crux a non-exclusive, worldwide, royalty-free license to display and distribute that content solely for the purpose of operating the Platform and providing the services described herein.
9.Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent listing information or bookings
- Use the Platform to violate any applicable local, state, national, or international law
- Attempt to circumvent Crux's fee structure by redirecting bookings off-platform after initial contact through the Platform
- Use automated tools, scrapers, bots, or other software to access, crawl, or interact with the Platform without prior written consent
- Interfere with or disrupt the Platform's infrastructure, security, or other users' experience
- Impersonate another person or entity, or misrepresent your affiliation with any person or entity
- Upload or transmit malicious code, viruses, or any harmful content
Crux reserves the right to investigate and take appropriate action against anyone who, in Crux's sole discretion, violates this section, including account suspension or termination and reporting to law enforcement.
10.Disclaimers & Limitation of Liability
Please read this section carefully
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Crux does not warrant that the Platform will be uninterrupted, error-free, or secure, nor does it make any representations regarding the accuracy or reliability of any information obtained through the Platform.
To the maximum extent permitted by applicable law, Crux shall not be liable for:
- Disputes between Property Owners and Guests, including issues related to property condition, cancellations, or refunds
- Property damage, personal injury, or any harm arising from a Guest's stay or participation in activities at a listed property
- Booking cancellations, payment failures, or service interruptions caused by circumstances beyond Crux's reasonable control
- Any indirect, incidental, special, consequential, or punitive damages
In no event shall Crux's total aggregate liability exceed the amount of platform fees paid by the Property Owner to Crux in the three (3) months preceding the event giving rise to the claim.
11.Termination & Property Offboarding
Crux-Initiated Termination
Crux may terminate or suspend your account at any time for violation of these Terms, with or without prior notice depending on the severity of the violation. For non-urgent matters, Crux will provide 14 days' notice before termination.
Property Owner Account Closure
Property Owners may initiate offboarding through the dashboard or by contacting Crux at admin@crux.camp. Account closure follows a structured offboarding process:
Offboarding Process
Upon initiating offboarding, Crux will immediately disable new bookings for the property. All existing reservations remain active and will proceed as normal:
- The Property Owner must fulfill all confirmed reservations through to completion
- Automated balance charges, payment reminders, and check-in/check-out processing continue to operate normally
- Platform fees continue to apply to all payments processed during the offboarding period
- The Stripe Connect account remains connected until all reservations are settled
Finalization
Once all existing reservations have reached a terminal status (completed, cancelled, or refunded) and all platform fees have been collected, the offboarding process is finalized automatically:
- Any remaining balance in the Property Owner's connected Stripe account will be paid out according to Stripe's standard schedule
- If the account has a negative balance (from refunds or chargebacks), the Property Owner must repay it within 30 days
- The Stripe Connect account will be disconnected from Crux
- The property listing will be removed from public view
Data Retention
After account closure, Crux will retain reservation records, transaction history, and communication logs for a minimum of 24 months as required for tax reporting, dispute resolution, and legal compliance.
Guest Account Deletion
Guests may delete their account by contacting Crux. Existing reservations are not automatically cancelled upon account deletion — Guests should contact the Property Owner to cancel active bookings before requesting deletion.
12.Modifications to Terms
Crux reserves the right to update or modify these Terms at any time. Material changes will be communicated via email to the address on file and through a notice displayed in the dashboard.
Continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform.
13.Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith informal negotiation. If the dispute is not resolved within 30 days of the initial notice, either party may pursue resolution through binding arbitration administered in accordance with the rules of the American Arbitration Association.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from any court of competent jurisdiction.
